1 — Acceptance; Eligibility; Changes
1.1. Acceptance. These Terms of Use (these “Terms”) are a binding agreement between you and the Firm governing your access to and use of the Site and its content. By accessing or using the Site, you accept these Terms and our Privacy Policy; if you do not accept them, do not use the Site.
1.2. Eligibility. The Site is intended for business users. You must be at least eighteen (18) years old, and if you use the Site on behalf of an organization, you represent that you are authorized to bind it, and “you” includes that organization.
1.3. Changes. We may modify these Terms at any time by posting the revised version with an updated “last updated” date; your continued use of the Site after posting constitutes acceptance.
2 — Our Content and Intellectual Property
2.1. Ownership; Limited License. The Site and all of its content — text, articles, graphics, designs, documents, and software — are owned by the Firm or its licensors and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Site and to view, download, and print content for your internal business evaluation of our services. All rights not expressly granted are reserved; no other license is granted by implication, estoppel, or otherwise.
2.2. Trademarks. “Tholos” and “Tholos Core,” and our logos and trade dress, are trademarks of the Firm. Nothing on the Site grants any right to use them, and you may not use them, or any confusingly similar mark, without our prior written consent.
3 — Informational Only; No Advice; No Engagement
3.1. No Professional Advice. Site content — including articles, guides, questionnaires, assessments, benchmarks, and descriptions of methods — is provided for general informational purposes only. It is not legal, tax, accounting, regulatory-compliance, or investment advice, is not a substitute for professional judgment applied to your specific circumstances, and you rely on it at your own risk.
3.2. No Engagement or Relationship. Browsing the Site, submitting a form, downloading materials, or corresponding with us does not create a client, fiduciary, or professional-services relationship. We provide services only under a mutually executed services agreement or statement of work, and we license our software only under a mutually accepted license agreement and order. No Site content constitutes an offer; any engagement is subject to our acceptance and definitive agreements.
3.3. Product Statements; Pre-Release. Descriptions of the Tholos Core platform on the Site are informational summaries, may describe pre-release capabilities, and are subject to change or withdrawal at any time without notice. Features, availability, timelines, and specifications are not commitments; the platform is governed exclusively by its End User License Agreement and applicable order documents, and nothing on the Site amends them or creates any warranty.
4 — Submissions
4.1. Personal Information. Personal information you submit through the Site is handled as described in our Privacy Policy.
4.2. Non-Confidential; Unsolicited Ideas. Except for personal information, anything you transmit through the Site or by unsolicited correspondence — including questions, comments, suggestions, and ideas — is non-confidential, and we assume no obligation with respect to it. You grant us a perpetual, irrevocable, royalty-free license to use, reproduce, and exploit such submissions for any purpose, without compensation or attribution, and you represent you have the right to grant it. DO NOT SEND US CONFIDENTIAL OR PROPRIETARY INFORMATION THROUGH THE SITE: to exchange confidential information, request our mutual non-disclosure agreement first, and share only after it is executed.
5 — Acceptable Use
You shall not, and shall not permit or assist any Person to: (a) scrape, harvest, crawl, index, or mine the Site or its content by automated means, or collect information about other users; (b) copy, reproduce, republish, distribute, or create derivative works of Site content except as Section 2.1 permits; (c) use the Site or any of its content to train, fine-tune, ground, or otherwise develop or improve any machine-learning or artificial-intelligence model or dataset; (d) probe, scan, or test the vulnerability of the Site, bypass any access or security control, or interfere with the Site’s operation or any other user’s use; (e) upload malicious code or use the Site for any unlawful, deceptive, or infringing purpose; (f) frame or mirror the Site, or misrepresent affiliation with us; or (g) use the Site to develop or market a competing product or service. We may suspend or terminate access for violations, and we reserve all remedies.
6 — Third-Party Links and Services
The Site may link to or embed third-party websites and services — for example, scheduling and analytics tools. We do not control and are not responsible for them; your use of them is governed by their own terms and privacy policies, and a link is not an endorsement.
7 — Copyright Complaints
We respect intellectual-property rights. If you believe content on the Site infringes your copyright, send a written notice to the contact address above that includes: identification of the copyrighted work and of the material claimed to be infringing (with its location on the Site); your name, address, telephone, and email; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We will review and respond appropriately, including removal of infringing material where warranted.
8 — Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SITE OR ITS CONTENT IS CURRENT, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.
9 — Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY; AND (b) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW, AND DO NOT LIMIT ANY SIGNED AGREEMENT BETWEEN YOU AND US, WHICH GOVERNS ITS OWN SUBJECT MATTER.
10 — Indemnification
You shall defend, indemnify, and hold harmless the Firm and its members, managers, and personnel from and against all losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of any third-party claim relating to your use of the Site in violation of these Terms or of law, or your submissions under Section 4.2.
11 — Governing Law; General
11.1. Governing Law; Forum; Jury Waiver. These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. Any judicial proceeding arising out of or relating to the Site or these Terms shall be brought exclusively in the state or federal courts sitting in the City and County of Denver, Colorado; you consent to personal jurisdiction and venue there, and EACH PARTY IRREVOCABLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RIGHT TO TRIAL BY JURY.
11.2. General. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding use of the Site, and supersede prior understandings regarding that subject; signed agreements between you and us govern their own subject matter and control over these Terms in any conflict regarding it. If any provision is held unenforceable, it is enforced to the maximum extent permissible and reformed to the minimum extent necessary, and the remainder continues. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may. Sections 2, 3, 4.2, and 7 through 11 survive any termination of access.
